TECHNOCOM WA

STANDARD TERMS AND CONDITIONS OF SALE AND DELIVERY

1. General

 1.1 These Terms and Conditions apply to all quotations, orders, acknowledgements, sales, and deliveries made by TECHNOCOM WA unless otherwise agreed in writing.

 1.2 If these Terms and Conditions conflict with any purchaser terms, these Terms and Conditions prevail unless TECHNOCOM WA expressly agrees otherwise in writing.

1.3 An order is accepted only when TECHNOCOM WA issues a written order acknowledgement or otherwise confirms acceptance in writing.

1.4 If any provision is invalid or unenforceable, the remaining provisions continue in full force.

2. Quotations and Orders

2.1 Quotations are valid for the period stated in the quotation, or if none is stated, for 30 days from the date of issue.

2.2 Orders must identify the goods, quantity, delivery details, and any special requirements.

2.3 Any variation to an order must be agreed in writing by both parties.

3. Specifications

3.1 The purchaser is responsible for the accuracy of its specifications, process data, and application requirements.

3.2 TECHNOCOM WA may propose technical improvements, but any change becomes binding only when accepted in writing by both parties.

3.3 Any functional design specification, if used, must be approved in writing before manufacture proceeds.

4. Delivery and Risk

4.1 Delivery terms are to be stated in the quotation or order acknowledgement. If no term is stated, the parties must confirm the applicable Incoterm in writing.

4.2 Delivery dates are estimates unless expressly confirmed as fixed dates in writing.

4.3 Risk passes in accordance with the agreed delivery term. Title remains with TECHNOCOM WA until full payment is received.

5. Price and Payment

5.1 Prices are exclusive of GST unless stated otherwise.

5.2 Payment is due within 30 days of invoice unless otherwise agreed in writing.

5.3 TECHNOCOM WA may suspend supply for overdue amounts, subject to applicable law.

5.4 Any price adjustment mechanism must be stated in the quotation or agreed in writing.

6. Warranty and Liability

6.1 Goods are warranted to conform to agreed specifications for the warranty period stated in the quotation or, if none is stated, for 12 months from delivery or 18 months from commissioning, whichever occurs first.

6.2 To the extent permitted by law, TECHNOCOM WA may repair, replace, or credit defective goods at its option.

6.3 Nothing in these Terms excludes any non-excludable rights or remedies under the Australian Consumer Law or other applicable law.

6.4 Liability exclusions, indemnities, and consequential loss exclusions must be read subject to applicable law.

7. Governing Law

7.1 These Terms and Conditions are governed by the laws of Western Australia.

7.2 The parties submit to the exclusive jurisdiction of the courts of Western Australia, unless arbitration
